About the RaceTeams.com Terms of Service
Eligibility, Authority, and Electronic Agreement
You must be at least 18 years old and legally capable of entering a binding agreement to use an account or complete a Transaction. The Service is not available to anyone who has been suspended or removed, except with our written permission.
If you use the Service for a team, company, track, sponsor, nonprofit, shop, series, event, or other organization, you represent and warrant that you have authority to bind that organization. In that case, “you” includes both you and the organization.
You consent to receive agreements, notices, disclosures, records, and other communications electronically. Electronic acceptance and records have the same effect as a handwritten signature and paper record to the extent permitted by law.
RaceTeams may require affirmative electronic acceptance when an Account is created, before a paid transaction, before Transaction Assistance begins, or after a material change. Where RaceTeams presents an acceptance control, selecting it constitutes electronic acceptance. RaceTeams may retain records of the Terms version, accepting User or organization, date, time, and acceptance event.
Definitions
Account. an account created to access or use some or all of the Service.
Buyer. a User who purchases, books, rents, sponsors, inquires about, or otherwise seeks an Offering.

User Content. text, listings, descriptions, pricing, photographs, video, audio, logos, reviews, messages, documents, and other materials a User submits, posts, transmits, or makes available through the Service.
RaceTeams Role and Relationship Between Users
RaceTeams generally provides technology, discovery, communication, booking, payment-facilitation, lead-generation, and marketplace-management tools. RaceTeams is not the buyer, seller, owner, manufacturer, distributor, importer, repairer, inspector, appraiser, employer, carrier, insurer, guarantor, fiduciary, franchise, partner, joint venturer, or agent of a User merely because a User accesses the Service or completes a Marketplace Transaction.
Users, not RaceTeams, decide whether to enter a Marketplace Transaction and are responsible for negotiating and performing their agreements. RaceTeams does not ordinarily take title to, possession of, custody of, or responsibility for an Offering and does not guarantee a User, Listing, Transaction, payment, delivery, performance, safety result, or outcome.
A Seller Profile Reviewed designation means only that RaceTeams manually reviewed submitted marketplace profile information under its then-current profile-review standards. It is not an identity certification, background check, business verification, inspection, endorsement, warranty, or guarantee. Stripe or another Payment Provider may separately perform identity, business, tax, payout, or compliance verification where applicable.
RaceTeams may separately offer Transaction Assistance for selected high-value transactions under a written agreement. Depending on what is legally permitted, Transaction Assistance may include administrative coordination, document organization, independent inspection or appraisal coordination, ownership/title/lien-document collection, escrow-provider coordination, scheduling, and closing logistics.
Transaction Assistance does not make RaceTeams the Seller, Buyer, attorney, title company, escrow agent, bank, mechanic, appraiser, insurer, fiduciary, or guarantor. RaceTeams does not act as a broker, agent, negotiator, or representative merely by providing Transaction Assistance. Any broader representative role must be expressly stated in a separate written agreement, must be legally permitted, and must satisfy any applicable licensing or regulatory requirement.
No brokerage, agency, fiduciary, representation, or advisory relationship arises merely because a User creates an Account, posts or responds to a Listing, communicates through the Service, uses a Payment Provider, receives Transaction Assistance, or asks RaceTeams a question.
Accounts, Business Users, and Verification
You must provide accurate, current, and complete information and keep it updated. You may not impersonate another person or entity, falsely state an affiliation, create an Account for someone without authority, or use a name or mark you do not have the right to use.
An organization may authorize individuals to use its Account. The organization is responsible for selecting and supervising those individuals and for activity performed through its Account. Account credentials may not be sold, transferred, or shared outside the organization without our permission.
You are responsible for maintaining the confidentiality of credentials, controlling access to devices, using reasonable security measures, and promptly notifying us of suspected unauthorized access. You are responsible for activity through your Account to the extent permitted by law.
We and our providers may require identity, business, payment, tax, ownership, insurance, licensing, or other verification. You authorize us and our providers to request, verify, retain, disclose, or update information reasonably necessary to operate the Service, prevent fraud, process Transactions, comply with law, or enforce these Terms, subject to the Privacy Policy.
If the INFORM Consumers Act or another marketplace-transparency law applies, you must timely provide and certify required information and permit legally required disclosures. RaceTeams may collect or cause a provider to collect required bank, tax, contact, identity, or business information; verify that information; require periodic certification; make disclosures required by law; and suspend future sales activity when information is missing, inaccurate, expired, unverifiable, or legally required to be disclosed. A Seller Profile Reviewed designation does not replace statutory or Payment Provider verification.
Listings and Seller Responsibilities
A Seller is solely responsible for its Listings, Offerings, prices, availability, disclosures, customer communications, fulfillment, warranties, refunds, taxes, legal compliance, and performance. Before posting or providing an Offering, the Seller represents and warrants that:
• The Seller owns the Offering or has full authority to advertise, sell, rent, license, provide, or sponsor it, and has disclosed any lien, security interest, consignment, co-owner, approval right, or restriction that could affect the Transaction.
• The Listing is accurate, current, not misleading, and includes all material information a reasonable Buyer would need, including condition, defects, damage, prior repairs, fitment, specifications, availability, location, shipping, legal-use limits, and material exclusions.
• The Offering and Listing do not infringe intellectual property, privacy, publicity, contract, confidentiality, or other rights and do not use logos, racing marks, photographs, videos, likenesses, sponsor assets, or other protected materials without permission.
• The Offering is authentic, lawfully possessed, not stolen, not counterfeit, not subject to an unresolved safety recall, and not prohibited by law or RaceTeams policy.
• The Seller holds all licenses, permits, registrations, approvals, qualifications, and insurance required for the Seller and Offering.
• The Seller will perform professionally, safely, timely, and in accordance with the Listing, its agreement with the Buyer, applicable law, and applicable track, venue, series, sanctioning-body, shipping, safety, and industry requirements.
• The Seller will not make false performance, audience, viewership, exposure, return-on-investment, earnings, safety, compatibility, or legal-compliance claims.
• The Seller will maintain records reasonably necessary to establish its authority, disclosures, fulfillment, licenses, insurance, taxes, and compliance and will provide them to RaceTeams when reasonably requested for safety, fraud, dispute, or legal purposes.
A Seller must clearly state when a vehicle, part, component, tire, fuel, chemical, safety product, or other Offering is intended only for competition, closed-course, off-road, display, experimental, or professional use; is not street legal; lacks certification; requires professional installation; or may be incompatible with a Buyer’s intended use.
Buyer Responsibilities and Due Diligence
A Buyer is solely responsible for deciding whether a User, Listing, or Offering is suitable. Before entering a Transaction, the Buyer should independently investigate the Seller and Offering and obtain professional help appropriate to the risk and value.
• Inspect condition, authenticity, title, ownership, liens, history, fitment, compatibility, safety, legality, licensing, permits, insurance, shipping, and intended use.
• Use qualified mechanics, inspectors, appraisers, title professionals, attorneys, accountants, insurance professionals, safety personnel, or other experts where appropriate.
• Review and agree to the Seller’s terms, cancellation rules, warranties, delivery obligations, event rules, and any transaction-specific agreement before payment or participation.
• Use Offerings safely, legally, and only for an appropriate purpose. A Buyer may not rely on RaceTeams for technical, mechanical, legal, tax, insurance, safety, medical, investment, sponsorship-return, or professional advice.
• Provide accurate payment, shipping, booking, participant, and other Transaction information and use only payment methods the Buyer is authorized to use.
Prohibited Listings and Conduct
You may not use the Service to offer, request, promote, facilitate, transmit, or engage in activity that is unlawful, fraudulent, unsafe, abusive, infringing, deceptive, or prohibited by these Terms or a policy incorporated by reference.
• Stolen, counterfeit, unlawfully copied, materially misrepresented, recalled, banned, unsafe, or illegally modified goods.
• Offerings that violate export, sanctions, customs, emissions, vehicle, transportation, hazardous-material, consumer-product, environmental, advertising, employment, licensing, tax, gambling, securities, or other applicable laws.
• Weapons, explosives, illegal drugs, controlled substances, unlawful or unsupported hazardous materials, malicious software, adult sexual content, or other categories prohibited by the Listing Standards & Prohibited Items Policy. Qualifying racing fuel and chemical Listings may be advertised only as expressly permitted by that Policy. A product prohibited or unsupported by Stripe may not use RaceTeams/Stripe checkout and may be restricted to inquiry-only, compliant local pickup, or another transaction method expressly permitted by RaceTeams and applicable law.
• A sponsorship, revenue-share, ownership, token, investment, or fundraising offer that constitutes or may constitute a security, franchise, gambling product, or regulated financial offering unless RaceTeams has expressly approved it after legal review.
• Content or conduct that exploits or endangers minors; reveals private or sensitive information without authority; is defamatory, threatening, hateful, harassing, obscene, or abusive; or encourages illegal or dangerous activity.
• False reviews, manipulated ratings, fake accounts, impersonation, undisclosed material connections, misleading endorsements, or attempts to evade moderation or verification.
• Scraping, harvesting, reverse engineering, automated access, load testing, security testing, circumvention of access controls, malicious code, denial-of-service activity, or interference with the Service without written permission.
• Using contact information obtained through RaceTeams to spam, harass, build unauthorized lists, or market unrelated goods or services.
• Avoiding or attempting to avoid applicable RaceTeams fees by moving a Marketplace-Originated Transaction off-platform, concealing a closing, routing the transaction through an affiliate, splitting consideration, or otherwise evading the 14.9% RaceTeams Seller Marketplace Service Fee or 10% Marketplace-Originated Lead Fee.
Transactions, Payments, Payouts, and Taxes
Some Transactions may be processed through a Payment Provider. Payment and payout services are also subject to the provider’s terms, privacy notice, verification, dispute, reserve, and prohibited-business rules. You authorize RaceTeams and the Payment Provider to take steps reasonably necessary to process, hold, release, reverse, refund, or collect amounts related to a Transaction.
Payment-card information is generally submitted directly to the Payment Provider. RaceTeams does not intend to store full card numbers or card security codes. RaceTeams may receive payment tokens, transaction status, card brand, last four digits, billing contact information, payout status, fraud information, and related records.
We may delay or condition a payout, place a reserve, withhold amounts, offset amounts owed, cancel a Transaction, or instruct a provider to take action when reasonably necessary to address fraud, risk, refunds, disputes, chargebacks, legal process, policy violations, negative balances, or provider requirements.
RaceTeams uses Sharetribe's standard transaction processes at launch and does not use custom partial-refund code. When an eligible Transaction is canceled through the standard process before completion, the cancellation ordinarily initiates a full refund of the original marketplace payment, including RaceTeams' commission in that payment. RaceTeams does not offer partial cash refunds through the standard marketplace cancellation flow at launch.
For a high-value Transaction or Transaction Assistance engagement, RaceTeams may require or recommend an independent Payment Provider, Escrow Provider, wire-verification procedure, inspection, title/lien documentation, or another risk-control step. Unless a separate written agreement expressly states otherwise and the arrangement is legally permitted, RaceTeams does not take custody or control of transaction funds and is not the escrow agent, bank, trustee, fiduciary, or money transmitter.
Prices and fees may exclude taxes, shipping, duties, customs, insurance, escrow, specialized payment or payout services, inspection, title, registration, and other charges. Users are responsible for taxes and reporting assigned to them by law. RaceTeams may collect, withhold, report, or remit taxes when required or when supported by the Service configuration.
RaceTeams Fees, Marketplace-Originated Lead Fees, Subscriptions, and Optional Services
Seller Marketplace Service Fee
At launch, RaceTeams charges a 14.9% all-in Seller Marketplace Service Fee on eligible paid transactions processed through the standard RaceTeams marketplace flow. The Buyer RaceTeams marketplace service fee is 0%.
For ordinary transactions completed through the standard RaceTeams marketplace checkout, standard card-processing and ordinary Stripe transaction costs are paid by RaceTeams from the 14.9% Seller Marketplace Service Fee. RaceTeams does not currently add a separate standard RaceTeams card-processing surcharge to the Seller or Buyer for those transactions.
For the standard Sharetribe Shop purchase flow, fixed shipping entered by the Seller is generally not included in Sharetribe's percentage provider-commission calculation. Other taxes, shipping, logistics, duties, inspection, escrow, title, insurance, materials, travel, facility, activation, specialized payment methods, or third-party costs may apply as separately disclosed.
Stripe and other Payment Providers charge payment-processing and related costs under their own pricing, configuration, and rules. Specialized payment methods or transaction services may involve additional disclosed third-party charges. RaceTeams may change how standard processing costs are allocated prospectively if the live transaction flow or provider configuration changes, subject to required disclosure and applicable law.
Marketplace-Originated Lead Fee
If RaceTeams introduces or connects a Buyer and Seller and the same or a substantially related transaction is completed outside RaceTeams within 12 months after the first documented RaceTeams introduction or contact concerning the opportunity, the Seller owes RaceTeams a 10% Marketplace-Originated Lead Fee, unless an exception below applies.
The Lead Fee is calculated on the gross consideration paid to the Seller for the Offering or substantially related commercial transaction, excluding sales or similar taxes collected for a taxing authority, actual separately stated shipping/freight/logistics charges passed through without markup, and independent third-party escrow, inspection, appraisal, title, lien-search, or registration costs separately stated to the Buyer. Non-cash consideration may be valued using the parties' stated value or another reasonable documented value.
The Lead Fee does not apply when: (a) the Seller reasonably documents that the Buyer-Seller relationship and active negotiation for the same Offering materially predated the RaceTeams connection; (b) RaceTeams waives the fee in writing; (c) the transaction is processed through RaceTeams and the 14.9% RaceTeams Seller Marketplace Service Fee applies; or (d) applicable law prohibits the fee or charging the fee for that asset or transaction would require a license, registration, or regulatory authority RaceTeams does not hold. For a motor-vehicle or other regulated-asset transaction, RaceTeams will not impose a success-based Lead Fee to the extent RaceTeams determines that doing so would require a license, registration, or regulatory authority RaceTeams does not hold. RaceTeams may instead use a different lawful fee structure disclosed before the applicable service or waive the Lead Fee.
The Seller must notify RaceTeams within 10 calendar days after closing a qualifying off-platform Marketplace-Originated Transaction and provide information reasonably necessary to calculate the Lead Fee. RaceTeams may invoice the fee or provide another payment method. Failure to report or pay an applicable fee may result in collection, offset, Account restriction, suspension, or termination, subject to applicable law.
Optional Transaction Assistance
RaceTeams may separately offer high-value Transaction Assistance for a flat, hourly, success-based, percentage, or other fee stated in a written Transaction Assistance Agreement. Unless that agreement expressly says otherwise, an applicable 14.9% RaceTeams Marketplace Service Fee or 10% Marketplace-Originated Lead Fee remains separate from the Transaction Assistance fee.
Other fees and subscriptions
RaceTeams may charge listing, advertising, referral, subscription, enterprise, promotional, or other fees disclosed before the applicable commitment. RaceTeams does not offer a recurring marketplace subscription at launch.
If RaceTeams later introduces a recurring subscription, the price, billing frequency, renewal terms, cancellation method, material restrictions, and any trial terms will be disclosed before enrollment, with affirmative consent where required.
RaceTeams may change fees prospectively by posting or providing reasonable notice. A fee change does not retroactively alter a completed Transaction unless the User agrees or law permits it.
Current fees and examples are described on the RaceTeams Marketplace Fees page, which is incorporated into these Terms.
Promoter and referral programs
RaceTeams may operate RaceTeams Promoter Programs and other referral, ambassador, or community-partner programs under separate program terms. RaceTeams may use a Referral Provider such as Tapfiliate to attribute qualifying activity and calculate program rewards. RaceTeams may use a Partner Payout Provider such as Trolley to onboard eligible payees and distribute approved program payments.
Program rewards are payable only when the applicable program terms are satisfied. RaceTeams may place rewards in pending status, disapprove or reverse rewards for refunds, cancellations, chargebacks, duplicate attribution, fraud, abuse, policy violations, or other ineligible activity, and apply minimum payout thresholds or other disclosed payout rules.
RaceTeams may share up to 25% of eligible RaceTeams Marketplace Service Fee revenue with qualifying racetracks, racing series, event promoters, sanctioning bodies, and other approved racing organizations under an applicable RaceTeams Promoter Program. The program share is calculated from the eligible RaceTeams Marketplace Service Fee, not from gross marketplace sales, shipping, taxes, or other separately stated third-party charges.
Unless RaceTeams expressly states otherwise, Promoter Program or referral rewards are paid by RaceTeams from RaceTeams revenue and do not create an additional standard Buyer marketplace fee or increase or reduce the Seller's 14.9% RaceTeams Marketplace Service Fee. Program terms control attribution, ongoing customer attribution where offered, commission rates, eligibility, reversals, payout timing, permitted-use restrictions where applicable, and termination rights.
Program proceeds may help participating racing organizations support initiatives such as points funds, purses, prizes, special awards, and other racer- or competitor-support programs. Unless a separate program agreement requires a specific use of proceeds, RaceTeams does not guarantee how a recipient will allocate its program payment.
Cancellations, Refunds, Fulfillment, and Transaction Disputes
The applicable cancellation, refund, modification, delivery, no-show, and rescheduling rules may depend on the Listing, Seller terms, transaction process, separate RaceTeams policy, Payment Provider rules, and applicable law. Users must review those rules before committing to a Transaction. Standard RaceTeams/Sharetribe cancellation at launch produces a full refund when an eligible transaction is canceled before completion; partial cash refunds are not supported through the standard marketplace cancellation flow.
Sellers are responsible for fulfillment and for responding promptly to Buyers and RaceTeams concerning delivery, performance, cancellation, refund, dispute, chargeback, safety, or fraud issues. Buyers must timely inspect and report problems and preserve evidence.
RaceTeams may provide communication tools, request information, facilitate a resolution, make administrative platform decisions, or instruct a Payment Provider as permitted by the transaction process. RaceTeams is not obligated to investigate every dispute and does not become a court, arbitrator, insurer, guarantor, or party to the Users' underlying contract by assisting.
RaceTeams may consider Listing terms, messages, tracking, photographs, inspection records, provider rules, user history, fraud indicators, safety, and other evidence. A platform decision does not eliminate rights a party may have against another User under applicable law, except to the extent the parties separately agree to a binding settlement.
Services, Bookings, Events, Rentals, and Motorsports Risk
Service providers, teams, drivers, shops, transporters, instructors, tracks, promoters, series, rental providers, and event operators are independent businesses. Unless a separate written agreement expressly states otherwise, RaceTeams does not employ, supervise, direct, train, license, or control them and is not responsible for their acts, omissions, personnel, equipment, facilities, advice, or performance.
Motorsports and related activities are inherently dangerous and may involve vehicle failure, fire, collision, impact, loss of control, hazardous conditions, property damage, financial loss, serious bodily injury, disability, and death. Participation may require specialized skill, protective equipment, insurance, medical fitness, rules compliance, and separate waivers.
You are responsible for evaluating and voluntarily accepting the risks of any physical activity, facility, vehicle, product, service, or event. You must follow all provider, venue, track, series, sanctioning-body, safety, and legal requirements.
RaceTeams may require a separate assumption-of-risk agreement, release, indemnity, participant agreement, guardian authorization, or proof of insurance before a booking or participation. A provider may require additional agreements, and those agreements are between the provider and participant unless RaceTeams signs them as a party.
Sponsorships, Endorsements, and Promotional Opportunities
A sponsorship Listing is an opportunity for Users to explore or negotiate a marketing relationship. RaceTeams does not guarantee that a sponsorship will be completed or produce exposure, impressions, attendance, sales, media value, tax benefits, return on investment, or any other outcome.
The sponsor and rights holder are responsible for a written sponsorship agreement that addresses deliverables, timing, approvals, category exclusivity, rights and licenses, content standards, measurement, reporting, payment, cancellation, make-goods, morality or conduct provisions, force majeure, and dispute remedies.
Users must make clear and conspicuous disclosures of sponsorships, free products, discounts, referral compensation, or other material connections where required. Promotional claims, endorsements, audience metrics, performance claims, and testimonials must be truthful, not misleading, and supported as required by law.
Unless RaceTeams expressly agrees in writing, RaceTeams is not the agent, representative, guarantor, measurement provider, or collections agent for a sponsorship party.
User Content, Public Listings, Messages, and Reviews
You retain ownership of your User Content. You grant RaceTeams and its service providers a worldwide, nonexclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, format, adapt, translate, display, distribute, and otherwise use User Content as reasonably necessary to operate, secure, improve, market and promote the Service and, where reasonably related to the User's marketplace activity, the relevant User, Listing, Offering, or Transaction. The license ends when the content is deleted from active systems, except for copies reasonably retained in backups, records, prior marketing, dispute files, or as required by law.
You represent and warrant that you own or control the necessary rights and permissions and that our permitted use will not violate law or another party’s rights. You are responsible for releases and permissions involving trademarks, copyrighted works, music, photographs, video, logos, sponsor assets, people, minors, vehicles, venues, and racing organizations.
Public profiles, Listings, reviews, photographs, videos, usernames, business information, and other public content may be visible to anyone, indexed by search engines, copied, cached, downloaded, or redistributed. Do not post sensitive personal, financial, medical, security, or identification information in public areas.
Messages sent through nonpublic communication features are not treated as public Listings, but they may be processed, reviewed, preserved, or disclosed as described in the Privacy Policy and when reasonably necessary for support, safety, fraud prevention, dispute handling, policy enforcement, or legal compliance.
You may post honest reviews based on genuine experience. RaceTeams may remove or restrict reviews that contain private or confidential information, are unlawful, harassing, abusive, obscene, unrelated, manipulated, or clearly false or misleading. We do not prohibit or penalize an honest negative opinion merely because RaceTeams or another User disagrees with it.
User Content, reviews, messages, and marketplace communications are also subject to the RaceTeams Community & User Content Standards, which are incorporated into these Terms.
Monitoring, Enforcement, and User Reports
RaceTeams may, but is not obligated to, review, investigate, moderate, edit for format, restrict, remove, preserve, or disclose User Content or activity. We may use automated and human tools and may act based on reports, risk indicators, legal requests, processor requirements, or our good-faith judgment.
We may refuse a Listing or Transaction; suspend or terminate an Account; delay a payout; require verification, insurance, records, or corrective action; warn Users; notify affected parties; report conduct to a provider, insurer, rights holder, regulator, or law enforcement; or take other action reasonably necessary to protect the Service, Users, RaceTeams, or the public.
RaceTeams does not promise to monitor every Listing, message, review, Transaction, or User and is not liable merely because it does not detect or remove content or conduct immediately, subject to applicable law.
Users must report suspected fraud, stolen or counterfeit goods, recalled or unsafe products, infringement, threats, abuse, or other serious violations through the reporting method we provide.
RaceTeams Intellectual Property and Permitted Use
The Service, software, design, selection and arrangement, databases, brand elements, and original content provided by RaceTeams or its licensors are protected by intellectual-property and other laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
You may use the Service only for lawful personal or business purposes related to the marketplace. You may not copy, sell, license, exploit, frame, mirror, scrape, create derivative services from, or use RaceTeams content, data, software, or marks except as expressly permitted by the Service or in writing.
If you submit feedback, you grant RaceTeams a perpetual, irrevocable, worldwide, royalty-free right to use and exploit the feedback without restriction or compensation, without identifying you unless permitted.
Copyright and Intellectual-Property Complaints
RaceTeams respects copyrights, trademarks, publicity rights, and other intellectual-property rights. The RaceTeams Copyright & DMCA Policy, which is incorporated into these Terms, governs copyright complaints, notice-and-takedown procedures, counter-notifications, repeat infringers, and other intellectual-property reports.
A rights holder or authorized agent may report suspected infringement using the contact and procedures identified in that Policy. Users must submit complaints, counter-notifications, supporting records, and responses accurately and in good faith. RaceTeams may remove or disable access to material, request additional information, notify an affected User, restore material when appropriate, restrict or terminate repeat infringers, or take other action permitted by the Terms, policies, or applicable law.
If RaceTeams registers a designated agent under the Digital Millennium Copyright Act, the registered designated-agent information published in the Copyright & DMCA Policy and the U.S. Copyright Office directory will control for statutory DMCA notices. Nothing in these Terms represents that a statutory safe harbor applies unless its legal requirements have been satisfied.
Third-Party Services and Links
The Service may use or link to Sharetribe, Stripe, Tapfiliate, Trolley, escrow providers, identity-verification services, shipping services, analytics, communications, social networks, or other third parties. Tapfiliate may support Promoter Program or referral attribution and commission administration, and Trolley may support Promoter Program or referral-recipient onboarding and payouts, including tax or compliance features when enabled. Their services are governed by their own terms and privacy notices.
RaceTeams does not control and is not responsible for a third party’s availability, security, content, acts, omissions, decisions, fees, account restrictions, or services. A link or integration does not constitute endorsement. This section does not limit responsibilities RaceTeams cannot disclaim under law for its own conduct.

RACETEAMS AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, SECURITY, RELIABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE.

Release of User-to-User Claims
To the fullest extent permitted by law, you release the RaceTeams parties from claims, demands, damages, and disputes arising from or relating to another User; a Listing or Offering; a Marketplace Transaction; an event, service, booking, rental, sponsorship, or delivery; or conduct occurring outside the Service, except to the extent caused by conduct for which RaceTeams cannot lawfully disclaim responsibility.
This release does not release another User from that User’s obligations to you and does not prevent you from pursuing available remedies directly against that User.
IF YOU ARE A CALIFORNIA RESIDENT, YOU EXPRESSLY WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” YOU ACKNOWLEDGE THAT YOU MAY LATER DISCOVER CLAIMS OR FACTS DIFFERENT FROM OR IN ADDITION TO THOSE YOU NOW KNOW OR BELIEVE TO EXIST, AND YOU INTEND THE RELEASE IN THIS SECTION TO APPLY TO UNKNOWN OR UNSUSPECTED CLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW.
Indemnification
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless the RaceTeams parties from third-party claims, liabilities, losses, judgments, damages, penalties, fines, settlements, costs, and reasonable attorneys’ fees arising out of or relating to: (a) your Account, User Content, Listing, Offering, or Transaction; (b) your product, vehicle, part, service, event, sponsorship, booking, rental, shipment, employment practice, tax, insurance, warranty, or contractual obligation; (c) bodily injury, death, or property damage caused by you or your Offering; (d) infringement, privacy, publicity, confidentiality, consumer-protection, safety, recall, licensing, regulatory, or legal violations; (e) your breach of these Terms or a separate User agreement; or (f) your fraud, negligence, willful misconduct, or dispute with another User.
RaceTeams will provide reasonable notice of an indemnified claim. RaceTeams may control the defense with counsel of its choice, and you will cooperate. You may not settle a claim in a way that admits wrongdoing by, imposes obligations on, or fails to fully release a RaceTeams party without RaceTeams written consent. If you do not promptly assume a required defense, RaceTeams may defend the claim and recover reasonable costs.
Insurance
You are responsible for obtaining and maintaining insurance appropriate to your business, Offerings, personnel, vehicles, property, services, events, and risks. Depending on the Listing or Transaction, RaceTeams may require evidence of general liability, commercial automobile, product liability, professional liability, workers compensation, cargo, garage, event, participant accident, property, or other coverage and may require minimum limits or additional insured status.
RaceTeams does not provide insurance merely because a Listing, booking, payment, or Transaction occurs through the Service. Insurance information or a certificate does not guarantee coverage, solvency, claim payment, or adequacy.
Suspension, Termination, and Service Changes
We may modify, restrict, suspend, discontinue, or terminate all or part of the Service or an Account when reasonably necessary for business, technical, legal, security, safety, fraud, risk, processor, or policy reasons. Where practical and appropriate, we may provide notice or an opportunity to cure, but we are not required to do so when immediate action is warranted.
You may stop using the Service and request Account closure, subject to pending Transactions, payment obligations, disputes, records, legal holds, and retention described in the Privacy Policy.
Suspension or termination does not cancel accrued fees, payment obligations, indemnity, transaction responsibilities, or provisions that by their nature should survive, including intellectual property, disclaimers, liability limits, releases, indemnity, dispute resolution, and general terms.
RaceTeams is not liable for a modification, suspension, discontinuation, or loss of access except to the extent required by law. We may provide a reasonable opportunity to retrieve User Content where practical, but you are responsible for independent copies.
Informal Resolution, Arbitration, and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW DISPUTES ARE RESOLVED.
Before filing a claim, the claimant must send a written Notice of Dispute to support@raceteams.com with the subject line “Notice of Dispute.” The notice must identify the claimant, Account email and organization if any, relevant Transaction, facts, legal basis, requested relief, and a reliable method of contact. RaceTeams may send its Notice of Dispute to the email associated with the Account. The parties will attempt in good faith to resolve the dispute for 30 days after receipt.
Except for an eligible small-claims action or a claim seeking temporary or preliminary injunctive relief to protect intellectual property, confidential information, account security, or the Service, any dispute arising out of or relating to these Terms, the Service, or the relationship between you and RaceTeams will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules for a consumer claim and its Commercial Arbitration Rules for a business claim, as modified by these Terms.
The Federal Arbitration Act governs this section. Arbitration will be conducted by one arbitrator. Unless the parties agree otherwise, a hearing may occur by video, telephone, document submission, or in Indianapolis, Indiana, subject to applicable rules and consumer protections. The arbitrator may award the same individual relief a court could award but may not combine claims or preside over a class, collective, consolidated, private-attorney-general, or representative proceeding.
YOU AND RACETEAMS WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION TO THE FULLEST EXTENT PERMITTED BY LAW.
You may opt out of this arbitration agreement by sending a written notice from the email associated with your Account to support@raceteams.com within 30 days after first accepting these Terms. Use the subject line “Arbitration Opt-Out” and include your name, organization if any, Account email, and a clear statement that you opt out of arbitration. RaceTeams may request reasonable verification. Opting out does not affect the rest of these Terms.
If this arbitration section is found unenforceable for a particular claim, that claim must be brought exclusively in the courts identified in Section 25 unless applicable law requires otherwise. If the class-action waiver is found unenforceable for a claim, the arbitration requirement will not apply to that class or representative claim.
Governing Law and Court Venue
These Terms and disputes not subject to arbitration are governed by the laws of the State of Indiana, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 24.
Subject to non-waivable law, any court proceeding must be brought exclusively in the state courts located in Hamilton County, Indiana, or, if federal jurisdiction exists, the United States District Court for the Southern District of Indiana, Indianapolis Division. Each party consents to personal jurisdiction and venue in those courts.
Nothing in these Terms deprives a consumer of a mandatory protection that cannot lawfully be waived in the consumer’s place of residence.
International Use, Export, Customs, and Consumer Rights
Availability, mandatory rights, and regional controls
RaceTeams is based in the United States. The Service may not be appropriate or available in every country, and we may limit Accounts, Listings, Transactions, payments, shipping, or features by location. Nothing in these Terms excludes or limits a consumer right, remedy, warranty, jurisdiction, or protection that applicable law does not permit the parties to waive.
Before a consumer is bound by a Transaction, a Seller must accurately identify whether the Seller is acting as a business, professional, or trader, or as a private individual. RaceTeams may rely on that declaration. Where required, the Service will disclose the Seller’s declared status, whether statutory consumer protections apply to the underlying contract, how responsibilities are allocated between RaceTeams and the Seller, and the principal factors that determine ranking or paid placement.
A business Seller is responsible for providing all mandatory pre-contract information, including its identity and contact information, the material characteristics of the Offering, the total price and mandatory charges, payment and delivery terms, cancellation and return rights, guarantees, complaint methods, and any required local-language disclosures. RaceTeams may require additional disclosures or restrict a Listing or Transaction until they are provided.
European Economic Area and United Kingdom consumers
Where European Economic Area or United Kingdom consumer law applies to a contract between a business Seller and a consumer, the consumer retains all mandatory statutory rights concerning conformity, quality, description, performance, repair, replacement, price reduction, refund, and unfair terms. For many distance contracts, the consumer may also have a 14-day withdrawal right, subject to statutory exceptions, including certain customized goods, date-specific bookings, fully performed services begun with the required consent, and qualifying digital content.
The business Seller is responsible for providing any required withdrawal notice and form, obtaining any express request to begin services during a withdrawal period, and obtaining any acknowledgment required before supplying digital content or fully performing a service. RaceTeams may provide interface tools for these steps without becoming the Seller or assuming the Seller’s underlying duties. Where applicable law requires, RaceTeams may also provide illegal-content reporting, moderation reasons, or an internal complaint or appeal process.
The Indiana-law, arbitration, class-action, jury-waiver, English-language, and venue provisions apply to an EEA or UK consumer only to the extent permitted by the mandatory law applicable to that consumer.
Canadian consumers
Consumer-contract rights in Canada vary by province and territory. If Canadian law applies, the applicable non-waivable federal, provincial, or territorial protections control. A business Seller must provide clear and understandable terms, total price and charges, delivery or performance information, cancellation, return and refund terms, complaint contacts, and any legally required language or disclosure, including Quebec-specific requirements where applicable.
Mexican consumers
Where Mexican consumer law applies, RaceTeams and the applicable business Seller may be required to provide a Spanish-language purchase flow and clear information concerning provider identity and contact methods, the total amount payable, the characteristics of the Offering, payment methods, privacy and security, shipping or performance, cancellation or statutory revocation rights, guarantees, and complaint procedures. Any non-waivable statutory revocation, refund, replacement, compensation, or complaint right applies notwithstanding conflicting language in these Terms.
Cross-border transactions, translations, and local terms
Cross-border Buyers and Sellers are responsible for customs classification, duties, taxes, permits, shipping, title, registration, product legality, sanctions, export and import restrictions, and return logistics unless their written agreement lawfully assigns responsibility differently. You may not use the Service if doing so would violate United States sanctions or export restrictions or if you are a restricted party.
RaceTeams may require a regional addendum, local seller information, a localized checkout, a statutory withdrawal or cancellation process, or additional consent before allowing activity in a country. We may suspend or decline a cross-border Listing or Transaction when the required compliance process is not available.
The English version controls to the extent permitted by law. A local-language version controls where applicable law requires it or where RaceTeams expressly identifies that version as controlling. If a regional addendum conflicts with these general Terms, the regional addendum controls for the covered User or Transaction.
Changes to These Terms
We may update these Terms from time to time. We will post the updated version and revise the “Last Updated” date. We may provide additional notice of a material change through the Service, email, or another reasonable method.
A change applies prospectively from its effective date. If law requires consent, or if we make a material change to dispute resolution or another term requiring renewed agreement, we will request acceptance. Continued use after the effective date constitutes acceptance where permitted by law.
General Terms
Policies incorporated. The RaceTeams Marketplace Fees page, Listing Standards & Prohibited Items Policy, Marketplace Transaction, Cancellation, Refund & Dispute Policy, Community & User Content Standards, Copyright & DMCA Policy, and each referral, subscription, regional, transaction-specific, or other live policy that expressly states it is incorporated into these Terms are part of these Terms. The Privacy Policy is a separate privacy notice and is not incorporated as a contractual warranty. An unpublished draft is not incorporated. A separate signed Transaction Assistance Agreement or transaction-specific agreement controls over conflicting general language for its subject matter.
Entire agreement. These Terms and incorporated agreements are the entire agreement between you and RaceTeams regarding the Service, except for a separate signed agreement.
Assignment. You may not assign or transfer these Terms or an Account without our written consent. RaceTeams may assign these Terms in connection with a merger, financing, reorganization, sale of assets, affiliate transfer, or operation of the Service.
Force majeure. RaceTeams is not liable for delay or failure caused by events beyond its reasonable control, including weather, disasters, fire, epidemic, war, terrorism, labor disputes, supply or carrier interruption, utility or internet failure, cyberattack, government action, sanctions, payment-provider action, venue closure, or motorsports-event interruption.
No waiver. A failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the stated instance.
Severability. If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue, subject to any special severability rule in the dispute section.
No third-party beneficiaries. These Terms do not create rights for a third party, except that RaceTeams affiliates, licensors, service providers, and other identified protected parties may enforce provisions intended for their benefit.
Headings and interpretation. Headings are for convenience. “Including” means including without limitation. A drafting ambiguity will not be interpreted against a party solely because that party drafted the provision.
